Terms & Conditions (T&C)

1. Scope of Application

These Terms & Conditions (“T&C”) govern the access to and use of the WINNLY platform (“WINNLY”, “we”, “our”, “the Platform”). By creating an account, accessing our services, or using the Platform, the User (“User”, “you”) agrees to these T&C.

If you do not agree to these T&C, you must not use the Platform.

2. Definitions

User
An individual who registers an account on the Platform.

Blue Coins
A non-purchasable, in-app currency earned by watching ads or through promotions. Used exclusively to join Blue Arenas.

Pink Coins
A purchasable or earnable in-app currency used to join Pink Arenas. Price: €1.00 per Pink Coin (excl. provider fees).

Gold Coins
A non-purchasable reward currency. Earned only by placing in the top three positions in Pink Arenas. Redeemable for digital prizes.

Arena
A game competition open for a predefined number of Users. Includes Blue Arenas and Pink Arenas.

Blue Arena
A competition where Users pay with Blue Coins and compete for Pink Coins.

Pink Arena
A competition where Users pay with Pink Coins and compete for Gold Coins.

Game Round
The gameplay session within an Arena, consisting of up to three attempts per User.

Highscore
The highest achieved score from a User’s attempts.

Price Pool
The fixed distribution of Pink Coins or Gold Coins allocated to the top three winners in the Arena.

Prizes / Keys
Digital rewards, voucher codes, and gift cards redeemed through Gold Coins.

3. Company Profile

WINNLY is a mobile skill-based gaming platform offering competitive mini-games requiring reaction speed, reflexes, precision, and timing. All Users play identical game configurations.

WINNLY is not a gambling platform and contains no chance-based mechanisms.

4. Coin Economy & Business Model

4.1 Blue Coins

• Earned by watching advertisements.
• Cannot be purchased, sold, transferred, refunded, or exchanged for money.
• Used exclusively to join Blue Arenas.
• Expire 12 months after being earned.

4.2 Pink Coins

• Purchasable in-app or earnable in Blue Arenas.
• Required to join Pink Arenas.
• Price Packeges are clearly visible in the Pink Coin Shop plus any applicable provider fees (Apple/Google)
• Non-refundable and non-transferable.
• Expire 12 months after purchase.

4.3 Gold Coins

• Earned only by placing in the top 3 in Pink Arenas.
• Redeemable for gift cards or digital voucher codes.
• Cannot be purchased, exchanged for money, or transferred.
• Expire 12 months after being earned.
  

5. Arena Types & Transparency Rules

5.1 Blue Arenas

• Entry fee: Blue Coins.
• Rewards: Pink Coins for top 3 Users.
• Transparent reward distribution (e.g., 60/30/10).
• The exact number of participants, rewards, and entry costs are shown before joining.
  
  

5.2 Pink Arenas

• Entry fee: Pink Coins.
• Rewards: Gold Coins for top 3 Users.
• Transparent reward distribution displayed before joining.

5.3 Transparency Requirements

Before entering any Arena, WINNLY displays:

• Maximum number of participants
• Remaining slots
• Entry fee
• Total reward pool (Pink or Gold Coins)
• Reward distribution for positions 1–3
  

6. Game Flow

1. User registration (nickname, email, password, age verification).
2. Optional purchase of Pink Coins via secure payment provider.
3. Selection of an Arena (Blue or Pink).
4. Transparent Arena information is shown before joining.
5. User joins by paying the required amount of Blue or Pink Coins.
6. Each User receives one attempt in the Game Round.
7. The highest single score counts as the Highscore.
8. Rewards (Pink or Gold Coins) are automatically allocated to winners.
9. Gold Coins can be redeemed for digital prizes.

7. Legal Requirements & Compliance

7.1 Skill-Based Games Only

All WINNLY games rely solely on skill. There is no randomness or gambling element.

7.2 Age Restriction

Only Users aged 18 or older may participate.
WINNLY may request proof of age at any time.

7.3 Data Protection

Personal data is processed in accordance with the EU GDPR.

7.4 Payments

Payments for Pink Coins are processed through secure third-party providers.
Provider fees may apply.
WINNLY is not responsible for interruptions caused by payment processors.

7.5 Responsible Gaming

Users are encouraged to play responsibly.
Self-limitation and account suspension functions may be implemented.

7.6 Server Location

All servers are located in Europe.

8. Prize Distribution

• Prizes are distributed digitally via voucher codes.
• Prizes are non-refundable, non-exchangeable, and non-transferable.
• Third-party terms (e.g., Amazon, Spotify, Netflix) apply.‍
• WINNLY is not liable for third-party restrictions, regional limitations, or redemption issues.

9. Fair Play, User Conduct & Prohibited Behaviors

9.1 Fair Play Rules

Users are prohibited from:

• Cheating, exploiting bugs, or manipulating the Platform
• Using bots, macros, or automated tools
• Reverse-engineering, decompiling, modifying, or hacking any part of the Platform
• Multi-accounting or any attempt to gain unfair advantage
• Misusing the referral system
• Attempting to disrupt or overload the Platform
  
  

Violations may result in:

• Immediate account suspension or termination
  
• Loss of all Blue, Pink, and Gold Coins
  
• Forfeiture of prizes
  
• Legal action where applicable
  
  

9.2 License to Use the Platform

WINNLY grants Users a limited, non-exclusive, non-transferable, revocable right to use the Platform.
All intellectual property (games, brand assets, mascots, UI, code) remains the sole property of WINNLY.

10. Service Availability & Maintenance

• WINNLY may temporarily restrict access due to maintenance, system updates, security reasons, or capacity limits.
• WINNLY is not liable for downtime or service interruption.‍
• Where possible, Users will be informed in advance.

11. Third-Party Services & Dependencies

WINNLY integrates third-party systems such as:

• Payment providers
• Ad networks
• Analytics tools
• Hosting and server infrastructure
  
  

WINNLY is not responsible for:

• Outages
• Technical failures
• Incorrect ad delivery
• Third-party system downtime
• Issues caused by external APIs
  

12. User Feedback & Suggestions

Users may submit feedback, ideas, or suggestions.
By doing so, Users grant WINNLY an irrevocable, royalty-free, worldwide license to use, modify, or implement such input without obligation to compensate.

13. Termination

13.1 User-Initiated Termination

Users may delete their account anytime.
Unused Blue, Pink, or Gold Coins are forfeited and non-refundable.

13.2 Platform-Initiated Termination

WINNLY may suspend or terminate accounts for:

• Fraud
  
• Abuse
  
• Violation of these T&C
  
• Legal request from authorities
  
  

Upon termination, all coins and unredeemed prizes are forfeited.

14. Amendments to the T&C

WINNLY may update these T&C.
Users will be informed of material changes at least 14 days in advance.

If a User does not accept the changes, they may terminate their account before the changes become effective.
Continued use after the effective date constitutes acceptance.

15. Severability

If any provision of these T&C is deemed invalid or unenforceable, the remaining provisions remain fully valid.

16. Governing Law & Jurisdiction

These T&C are governed exclusively by German law.
Where legally permissible, jurisdiction is the registered office of WINNLY.
